看不懂外企offer letter上的英語條款？這一篇帶你漲知識！

 以上就是一封offer letter大概的長相。

一開始標明的是僱員的個人信息，如姓名、家庭地址等等。

 然後，正文主題一般就是寒暄話，恭喜你獲得該職位等等，除了恭喜之外，有時候還有一些附件條件，比如下面這段話： 

It is my pleasure to extend the following offer of employment to you on behalf of (your company name). This offer is contingent upon your passing our mandatory drug screen, our receipt of your college transcripts, and (any other contingencies you may wish to state).

很高興代表XXX公司給你發這份聘書。只有您通過強制性的毒品濫用篩檢，我方收到您的大學成績單（及其他附件條件），此份聘書才正式生效。

 之後，offer letter會逐一解釋各項條款。 1.Title工作頭銜這邊會清楚寫明僱員的工作職位、頭銜，以及直屬上司等信息，如下：

Your title will be customer support specialist if you accept this employment offer. You will report to Steve Smith, manager of customer support.

如果你接受這份聘書，你的頭銜將是客戶支持專員。 你將向客戶支持經理Steve Smith報告。

 2.Job Description 工作職責描述 一般來說，你需要確保工作職責描述準確無誤，以防之後老闆會改變你的工作內容，會以其他方式給你降級，所以工作描述要準確。 

In the role of customer support specialist, you will be expected to carry out the duties and responsibilities described in the enclosed job description which is periodically updated to reflect customer service needs.

客服支持專員的職責是：執行附件中工作崗位說明書中的職責，履行相關義務。此項崗位說明將會不定期更新，以更好地反映客戶服務需求。

 3.Dates and Times工作開始日期通常開說，offer letter裏會標明正式上班日期，但如果你需有休假計劃，或者需要搬家，也可以要求上班日期往後延期。此外，如下一些注意事項也非常重要。 

You are expected to start your employment on August 1st, 2017. Please report to the customer service department where you will begin your onboarding process at 9:00 a.m.

你的入職時間爲2017年8月1日，到時，請向客戶服務部報道，您將在上午9:00開始您的入職程序。

 4.Base Salary基準工資關於基本工資這項，你要多多留意，你可能之前在電話或電郵裏面已經和人事談過了工資。 但是你要確保落紙面上的工資標準（compensation package）是符合你的期待的。如果和之前說的不一樣，可以找招聘經理，看看是不是出了什麼錯誤。如果你覺得工資低於你的預期，你有權議價工資。 同時，你還需要看一下offer中的工資支付方式。比如有一些公司是半個月發一次工資，所以你需要算一算，加起來年薪是不是和承諾的一樣。 此外，你還看看看是不是有漲薪的機制？（Also, you need to undersand is there a lock-step ladder for raises?） 比如開頭這份offer letter中工資部分是這樣寫的： 

We are offering you a base salary of $40,000.00 which will be subject to deductions for taxes and other withholdings as required by law or the policies of the company.

你的資本工資是40000美元，並將根據法律或公司的政策扣除稅款和其他代扣費用。

 在美國有一項稅叫做 withholding tax: 代扣所得稅，指的是企事業僱主代替政府從僱員薪金中扣除的所得稅
5.Benefits/Bonuses福利/獎金每個公司，獎金/福利如何計算，有時候確實難複雜，所以要確保到手的獎金數額。 同時，你需要注意有些公司用那種模棱兩可的話語來描述獎金體系，所以你也要留心。 你至少需要知道百分比，時間（年薪、月薪），標準，是自由決定的（discretionary），還是固定不變的（ guaranteed）。 各個公司，有不同的福利，比如免費午餐，寵物醫保等，每個公司不一樣，但有幾個關鍵的福利你需要注意。 offer letter上需要註明已經說好的福利，比如假期，收益分紅（profitsharing），費用報銷（expense reimbursement），電話費報銷（paid cell phone），公司配車等。 比如，醫療保險福利：

The current, standard company health, life, disability vision, and dental insurance coverage are offered with this agreement per company policy. Your eligibility for other benefits such as tuition reimbursement, and bonus potential will take place per company policy. The company benefit offerings and employee contribution to payment for benefit plans are determined annually.

目前，固定的公司醫療和牙科保險根據公司公司協議而定。據此，你有資格獲得學費報銷，並有一定獎金。 公司福利方案和員工需支付的福利方案金額每年浮動變化。

 休假福利：

As an employee of (Company Name), you will receive nine paid holidays, determined annually by the company. You are eligible to accrue Vacation time off at x.xx hours per pay period. This is equivalent to two weeks on an annual basis. Vacation time off increases per company policy.  All employee benefits are subject to periodic company review and can be changed with or without notice.

作爲（XXX公司）的員工，你將獲得九天帶薪假期，具體數額每年由公司確定。此外，每工作一定時間，將獲得x.xx小時累積休假時間。這相當於每年可休假兩個星期。且公司休假時間將逐年增加。所有員工福利都需要公司定期審覈，並會在有或沒有通知的情況下更改。

  6.Confidentiality and Non-Disclosure clause保密和不公開協議不公開和保密協議（confidentiality and non-disclosure clause）是offer letter重要部分。 通常保密協議規定了在任職期間，你必須保密的信息，以及破壞保密協議，可能面臨的後果，比如訴訟等等（sensitive information that you learn in your tenure at a company private, or else face consequences such as lawsuits）。 保密協議可能包括財務報告、通訊消息、產品設計或者其他內部物品。

Non-disclosure Agreement: You acknowledge that during your employment with the Employer, confidential information will be disclosed to you and, any unauthorized revelation of such information to any individual or party or for use other than for the Employer’s purposes could cause wide harm to the Employer. The confidential information of the Employer includes any and all trade secrets, private or secret information of the Employer (includes, but does not limit to)

你清楚，在合同期內，你會接觸到機密信息，任何未經授權向他人或第三方披露機密信息，將對僱主造成嚴重傷害。機密信息包括但不限於僱主的所有商業祕密，私人或祕密信息。

 7.Non-Compete Clause不競爭條款不競爭條款是僱主和僱員之間簽訂的合同，這個條款規定了僱員在一段時間內，不能去和僱主有競爭關係的公司工作，以防止競爭。 如果僱員要找新工作，就需要等不競爭條款失效過期，或者搬去其他地方，或者換個行當（have to wait for the agreement to lapse, move to another geographic area, or change industries）。 所以，不競爭條款對僱員職業生涯影響還是挺大的，所以如果offer letter裏有這樣的條款，你一定要想清楚再簽訂。 

You covenant and agree that, during the term of your employment with the Company and for twelve (12) months after the termination thereof, regardless of the reason for the employment termination, you will not, directly or indirectly, anywhere in the Territory, on behalf of any Competitive Business perform the same or substantially the same Job Duties.

你將同意，在僱傭期內，以及終止僱傭合同的12個月內，且無論終止僱傭的原因是什麼，你不得直接或間接地在該地區的任何地方， 不得代表任何競爭單位執行相同或實質相同的工作職責。

 另外，有些公司還有 Non-Solicit clause（禁止招徠條款）
和上面的不競爭條款有些類似，但也有區別，禁止招徠條款指的是僱員離職後不得拉攏原公司的人員或者把原公司的客戶、關係帶走，不能損害原僱主的利益。 

You also covenant and agree that during the term of your employment with the Company and for twelve (12) months after the termination thereof, regardless of the reason for the employment termination, you will not, directly or indirectly, solicit or attempt to solicit any business from any of the Company’s Customers, Customer Prospects, or Vendors with whom you had Material Contact during the last two (2) years of your employment with the Company.

你將同意，在僱傭期內，以及終止僱傭合同的12個月內，且無論終止僱傭的原因是什麼，你不得直接或間接，和你在本公司最後兩年接觸的已有客戶，潛在客戶，或供應商開展業務往來。

 8.At-Will clause自由僱傭原則自由僱傭原則意味着僱主在任何時期，可以有理由或者無理由地和員工解除勞務關係，歧視、報復、其他特殊情況除外（barring cases of discrimination, retaliation, and other special circumstances）。  這可能聽起來有點令人震驚，但並不意味着公司能夠隨便裁掉員工（go around firing people on a whim）。 另一面，這項條款也意味着僱員也能夠隨時提出辭職。 

You acknowledge and agree that nothing in this Agreement is a guarantee or assurance of employment for any specific period of time. Rather, you understand that you are an at-will employee and that the Company may terminate your employment at any time for any reason. You are similarly free to resign at any time for any reason.

您確認並同意，本協議中的任何內容均不構成任何特定時期的擔保。相反，你明白作爲一名員工，公司可能因任何原因隨時終止和你的合同。你也可以因爲任何願意辭職。

 當然啦，有些公司還可能在offer letter上寫明Arbitration Clauses，那麼這到底是什麼呢？  9.Arbitration Clauses仲裁條款

最後一項棘手條款是仲裁條款。條款一般規定僱員和僱主之間若發生任何爭議，必須由中立的第三方解決，這項條款可能讓你遇到一些法律上頭疼的問題。

 僱主肯能偷偷把這條加入offer letter中，而一旦你將來要和僱主法庭相見，可能給你帶來很多麻煩事。所以要保護好自己，至少你要知道在offer letter裏有這樣一條條款。
